AGREEMENT.

Standing, non-exclusive visual likeness licence.

VERSION 2026-10-25-2 · Issued by M&D Media Ltd, UK.

Parties

M&D Media Ltd, UK (Company), and the individual identified in the electronic signature record (Member). Notices and enquiries: studio@bai-ley.com. This agreement is governed by English law, subject to mandatory protections applicable to the Member. Worldwide production rights do not override local eligibility or non-waivable rights.

1. Eligibility and consent

The Member must be at least 18, have legal capacity and supply photographs of themselves they are entitled to license. Participation is voluntary and non-exclusive. No employment, agency relationship, casting selection or minimum income is promised. Membership does not permit use until identity, photographs and the standing agreement have been verified.

2. Licence

The Member grants the Company a standing, non-exclusive commercial licence to reconstruct, animate and generate their visual likeness for BAI-LEY films and series, and to authorise BAI-LEY production and distribution partners to exploit the resulting productions. The licence includes fictional generated voices but excludes cloning the Member's actual voice. The Company retains full creative and editorial control. The Member has no individual script, character, casting, production or final-cut approval right, subject always to mandatory law.

3. Production rights

Each authorised production receives a worldwide, all-territory, all-media commercial buyout, including distribution, streaming, broadcast, theatrical exhibition, promotion and future media. New film and episode uses may be authorised under this standing agreement without another signature while participation remains active. The resulting production and its permitted promotion may continue to be exploited after withdrawal where lawful. This is not a sale of the Member's identity or a waiver of non-waivable rights.

4. Production policy

BAI-LEY excludes gambling advertising, political-party advertising and depictions of sexual violence. These exclusions bind production selection and permitted use. The licence does not authorise cloning of the Member's actual voice, unrelated advertising, third-party model training or sale of raw member photographs.

5. Fees

Per person, per film or episode: Background £50; Featured non-speaking £200; Minor speaking character £750. Only the highest applicable category is payable for a given film or episode. No stacking by scene, shot or repeated appearance. A distinct episode is a distinct production reference. Any higher-category correction requires an additional payment obligation for the difference and an audit record, never a second full fee.

6. Trigger and notice

Payment becomes due when the likeness appears in an approved final production master. The payment target is within 30 days of that approval. M&D Media Ltd issues the Notice of Use and Payment Due and owes the fee. The notice identifies Member, production, appearance category, fee, master reference, licence and payment obligation. It is informational and requires no further signature. The standing agreement supplies the rights. Fees are in GBP; payment is by the Member’s chosen PayPal account or bank transfer. The Member must provide accurate receiving information. Any currency conversion, receiving charges or lawful withholding must be disclosed in the payment record.

7. Royalties and mandatory rights

No additional contractual royalties or residuals are payable beyond the agreed production fee. Nothing excludes statutory remuneration, collective-agreement entitlements or other rights that cannot lawfully be waived. Local law may require additional terms or prohibit eligibility.

8. Withdrawal and privacy

The Member may stop future participation through the account. No new casting or new production authorisation may be made after withdrawal. Existing lawful production rights and outstanding payment obligations survive; raw photographs and other personal data remain subject to applicable data-protection rights. Withdrawal of a privacy consent must be handled separately from the lawful survival of already-created production rights. The privacy notice explains processing and routes for access, correction, erasure and complaints.

9. Electronic signing and evidence

The approved agreement version, exact document and SHA-256 digest, typed legal name, authenticated account, explicit acceptance, separate privacy consent and UTC signature time are retained with permanent identifiers. A signed copy is available in the account. A changed agreement requires a new version; existing signed records are not overwritten.

10. Global applications

Applications are accepted internationally. The Company reviews age, legal capacity, local restrictions and production eligibility before authorising use. Registration and signature alone do not make an unverified likeness available for production.

11. Studio testing, development and marketing

In addition to the production rights above, the Member grants the Company a non-exclusive, worldwide, royalty-free licence to use, copy, reproduce, edit, adapt and create generated or animated depictions from the Member’s submitted casting photographs and visual likeness for the Company’s internal research, testing, evaluation and development of its studio technology, workflows, production methods and likeness assets; and for advertising, publicising and marketing BAI-LEY, JOIN, the Company’s studio services and its productions. This includes use on websites, social media, paid advertising, showreels, demonstrations, presentations and other promotional materials in any media. The Company may authorise its service providers and agencies to carry out these uses on its behalf, subject to the same restrictions. Studio marketing under this clause is an authorised use; unrelated third-party advertising remains excluded. This clause does not enrol the Member in marketing communications.

No additional appearance fee, royalty, residual or other compensation is payable solely for these internal or studio marketing uses, unless separately agreed in writing or required by applicable law. No individual approval of each test, depiction or marketing material is required. The production fees in sections 5 and 6 remain payable whenever a qualifying film or episode use occurs. These permissions exclude government photo ID, payment details and cloning of the Member’s actual voice, and do not authorise a false personal testimonial or endorsement of an unrelated product or service. All uses remain subject to the production policy, withdrawal and privacy provisions in sections 4 and 8 and any rights that cannot lawfully be waived. These additional permissions apply only when the Member accepts this revised agreement; they do not amend an earlier signed version automatically.
